Welcome to Choladeck (the “Service”). These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Choladeck (“Company,” “we,” “us,” or “our”), a company registered in Malaysia, governing your access to and use of the Service available at https://choladeck.com and https://app.choladeck.com.
By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund & Cancellation Policy. If you do not agree to these Terms, you must not use the Service.
1. Definitions
“Service” means the Choladeck website (choladeck.com), the Choladeck web application (app.choladeck.com), and all related tools, features, content, and services provided by Choladeck, including but not limited to the Slide Library, Premade Presentations, Editor, PowerPoint tools, and any associated APIs.
“Content” means all presentation slides, templates, design elements, icons, images, layouts, frameworks, and other creative materials available through the Service.
“Export” means the act of downloading or transferring Content from the Service into a file format (such as PowerPoint, Keynote, or Google Slides) for use outside the platform.
“Subscription” means a paid plan that grants the User access to premium features and a defined number of Exports per billing period.
“Free Plan” means the no-cost tier of the Service that provides limited access to Content and a specified number of free Exports, allowing Users to evaluate the Service before committing to a Subscription.
“Choladeck Studio” means the custom presentation design service offered by Choladeck, which operates under separate engagement terms as described in Section 11.
2. Eligibility
You must be at least 18 years of age or the age of legal majority in your jurisdiction (whichever is greater) to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement.
If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” and “your” will refer to both you individually and that entity.
3. Account Registration and Security
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately at [email protected] if you become aware of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to maintain the security of your account.
You may not share your account credentials with third parties, create multiple accounts to circumvent Service limitations, or allow others to access the Service through your account unless authorized under a Team plan.
4. The Service
4.1 Description
Choladeck provides a Software-as-a-Service (SaaS) platform that enables users to browse, customize, and export professionally designed presentation slides. The Service includes access to a Slide Library with 9,000+ unique slides across 130+ categories, Premade Presentation templates, an in-app Editor with customization tools, and PowerPoint utility tools.
4.2 Free Plan and Evaluation Period
The Service offers a Free Plan that provides access to a selection of Content and a limited number of free Exports at no cost. The Free Plan is expressly provided as an evaluation mechanism for Users to assess the Service, its features, Content quality, and suitability for their needs before committing to a paid Subscription. By using the Free Plan, you acknowledge that you have had the opportunity to evaluate the Service prior to any purchase decision.
4.3 Service Availability
We strive to maintain continuous availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, system updates, or circumstances beyond our reasonable control. We will make reasonable efforts to provide advance notice of planned downtime where practicable.
4.4 Modifications to the Service
We reserve the right to modify, update, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes that significantly affect your use of the Service. Continued use of the Service after such changes constitutes your acceptance of the modified Service.
5. Subscriptions, Billing, and Payments
5.1 Subscription Plans
The Service offers various Subscription plans (Personal and Team), each with defined features, Export allocations, and pricing. Current plan details and pricing are available at choladeck.com/pricing. All prices are in US Dollars (USD) unless otherwise stated.
5.2 Billing Cycles
Subscriptions are available on monthly or annual billing cycles. Your Subscription begins on the date of your initial payment and automatically renews at the end of each billing cycle unless cancelled in accordance with Section 5.5.
5.3 Automatic Renewal
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. You will be charged the then-current Subscription fee for the renewal period. By subscribing, you authorize us to charge your designated payment method for recurring payments. It is your responsibility to be aware of your renewal date and to cancel your Subscription before the renewal date if you do not wish to be charged for the next billing period.
5.4 Payment Processing
All payments are processed securely through Stripe, our third-party payment processor. By providing your payment information, you authorize Stripe to charge your designated payment method. Choladeck does not store your full credit card details on our servers. Your use of Stripe is subject to Stripe’s Terms of Service and Privacy Policy.
You are responsible for ensuring your payment method is valid and has sufficient funds. If a payment fails, we may suspend your access to premium features until the outstanding amount is resolved. We reserve the right to retry failed payments up to 3 times within a 14-day period.
5.5 Cancellation
You may cancel your Subscription at any time through the Billing section of your Choladeck account. Upon cancellation:
- Your Subscription remains active until the end of the current billing period.
- You will not be charged for subsequent billing periods.
- After the billing period ends, your account will revert to the Free Plan.
- Content previously exported remains yours to use in accordance with the license granted under Section 6.
- Unused Exports do not carry over and are forfeited upon cancellation or at the end of any billing period.
5.6 Plan Changes
You may upgrade your Subscription plan at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of the current billing period. Downgrades take effect at the beginning of the next billing period.
5.7 Price Changes
We reserve the right to change Subscription pricing. We will provide at least 30 days’ advance notice of any price increase via email. Price changes will apply to the next billing period after the notice period. If you do not agree to the new pricing, you may cancel your Subscription before the change takes effect.
5.8 Taxes
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any applicable sales tax, VAT, GST, SST, or other taxes imposed by your jurisdiction.
6. Intellectual Property and License
6.1 Ownership
All Content available through the Service, including but not limited to slide designs, templates, layouts, icons, images, graphics, text, code, and the overall look and feel of the Service, are owned by Choladeck or its licensors and are protected by copyright, trademark, and other intellectual property laws.
6.2 License Grant
Subject to your compliance with these Terms and an active Subscription (or within the limits of the Free Plan), we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and browse Content within the Service.
- Export Content within your plan’s allocated limits.
- Use exported Content in your own presentations for personal, commercial, or educational purposes.
- Modify and customize exported Content to suit your needs.
6.3 License Restrictions
You may NOT:
- Redistribute, resell, sublicense, or make available any Content (whether modified or unmodified) as standalone templates, slide packs, or design assets.
- Use Content in any product or service that competes with Choladeck.
- Claim ownership or authorship of the original Content designs.
- Use automated tools, bots, scrapers, or similar technology to access, download, or extract Content from the Service.
- Share, transfer, or provide your account access to unauthorized users.
- Remove or alter any copyright notices, watermarks, or proprietary markings from the Content.
- Use Content in any manner that is unlawful, defamatory, obscene, or harmful.
6.4 Post-Subscription License
Content that was legitimately exported during an active Subscription period may continue to be used in existing presentations after the Subscription ends, subject to the restrictions in Section 6.3. However, you may not make new Exports or access premium Content after your Subscription has expired or been cancelled.
6.5 User Content
You retain ownership of any original content you create using the Service (such as your custom text, data, and images inserted into presentations). By using the Service, you grant Choladeck a limited license to process your User Content solely for the purpose of providing the Service to you.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Engage in any fraudulent, deceptive, or misleading activity.
- Interfere with or disrupt the Service, servers, or networks connected to the Service.
- Attempt to gain unauthorized access to any part of the Service or other users’ accounts.
- Use the Service to transmit malware, viruses, or other harmful code.
- Circumvent, disable, or interfere with security features of the Service, including Export limits.
- Use the Service in any way that could damage, disable, overburden, or impair our infrastructure.
- Systematically download or export Content beyond your plan’s allocation through any means.
8. Refunds and Cancellations
Our refund and cancellation practices are governed by our separate Refund & Cancellation Policy, which is incorporated into these Terms by reference. Please review the Refund & Cancellation Policy carefully before making a purchase.
In summary: Given that the Service provides a comprehensive Free Plan for evaluation purposes, all Subscription purchases are final and non-refundable except in limited circumstances described in our Refund & Cancellation Policy.
9. Dispute Resolution
9.1 Contact Us First
If you have any dispute, claim, or concern arising from or relating to the Service or these Terms, you agree to first contact us at [email protected] and attempt to resolve the dispute informally within 30 days. Most concerns can be resolved quickly and satisfactorily through direct communication.
9.2 Payment Disputes
If you believe a charge is incorrect, you must contact us at [email protected] within 30 days of the charge. We will investigate and respond within 7 business days. Filing a chargeback or payment dispute with your bank or credit card company without first attempting to resolve the matter with us directly may result in:
- Immediate suspension or termination of your account.
- Loss of access to all Content and Exports.
- Referral to a collections agency for any amounts owed.
- A ban from creating future accounts with the Service.
We reserve the right to dispute any chargeback and to provide evidence of service delivery, account usage, and acceptance of these Terms to your financial institution.
9.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Malaysia.
9.4 Limitation on Claims
Any claim arising from or related to these Terms or the Service must be filed within one (1) year after the cause of action arises. Claims filed after this period are permanently barred.
10. Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that exported Content will be compatible with all software or systems.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHOLADECK, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages.
- Any loss of profits, revenue, data, goodwill, or other intangible losses.
- Any damages arising from your use of or inability to use the Service.
- Any damages arising from unauthorized access to or alteration of your transmissions or data.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10.3 Acknowledgment of Digital Delivery
You acknowledge and agree that the Service provides instant access to digital content upon account creation or Subscription activation. Delivery of the Service is deemed complete upon your ability to access and use the features associated with your plan, including the ability to browse, customize, and export Content.
11. Choladeck Studio
Choladeck Studio is a custom presentation design service offered separately from the main platform. Studio engagements are subject to the following additional terms:
- Custom design work is provided based on a separate scope of work agreed upon with the client.
- Payment for Studio services is due in advance of work commencement unless otherwise agreed in writing.
- Studio deliverables are subject to reasonable revisions as specified in the engagement agreement.
- Intellectual property rights to custom Studio work transfer to the client upon full payment, excluding any Choladeck proprietary frameworks or base elements.
- The satisfaction guarantee for Studio services, where applicable, is subject to the specific terms communicated at the time of engagement.
12. Account Termination
12.1 Termination by You
You may close your account at any time by contacting [email protected]. Account closure does not entitle you to a refund of any prepaid Subscription fees.
12.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if:
- You breach any provision of these Terms.
- You engage in fraudulent activity or misuse of the Service.
- You file a chargeback or payment dispute without first contacting us.
- Your payment method fails and the issue is not resolved within 14 days.
- We are required to do so by law or regulatory authority.
- We reasonably believe your account is being used in an unauthorized manner.
12.3 Effect of Termination
Upon termination, your right to access the Service immediately ceases. We may delete your account data after 30 days following termination. Content exported prior to termination remains subject to the license terms in Section 6.4. Sections 6, 9, 10, 13, and 14 survive termination.
13. Indemnification
You agree to indemnify, defend, and hold harmless Choladeck, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: your use of the Service, your violation of these Terms, your violation of any third-party rights, or any content you create or share using the Service.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and Choladeck regarding the Service and supersede all prior agreements, understandings, and communications.
14.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Choladeck.
14.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
14.5 Notices
We will send notices to the email address associated with your account. You are responsible for keeping your email address current. Notices are deemed delivered when sent. For legal notices to Choladeck, please email [email protected] with the subject line “Legal Notice.”
14.6 Force Majeure
Choladeck shall not be liable for any failure or delay in performing its obligations where such failure or delay arises from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service outages.
14.7 Changes to These Terms
We reserve the right to update these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
